PorticoXR – Platform and VR Content Library Terms and Conditions

1. ACCEPTANCE OF TERMS AND CONDITIONS

These Terms and Conditions (the “Terms”) govern your (“you”, or “your”) access and use of the PorticoXR platform (as defined below), provided by Xccelerator Ltd of 85 Great Portland Street, London, W1W 7LT (“PorticoXR”, “we”, “us”, or “our”). By using our platform for Content promotion and integration purposes, you agree to comply with these Terms and any supporting documents referenced and hereby incorporated into these Terms. If you do not agree to these Terms, you may not access or use the PorticoXR Platform. These Terms constitute a binding legal agreement between you and us. Please read them carefully and print a copy for your future reference.

2. MODIFICATION OF TERMS

We reserve the right to modify these Terms at any time and in any manner at our sole discretion by: (a) posting a revision on this Site; or (b) sending information regarding the amendment to the email address you provide to us…

3. Definitions

Affiliate: any legal entity which directly or indirectly, through one or more intermediaries owns, is owned by, or is under common ownership with such party.

Connectivity Infrastructure: internet, telecommunications links, broadband and/or third party software and systems…

Content: a software application owned by you.

Hosted Services: PorticoXR’s hosting of the PorticoXR Platform.

PorticoXR Platform and/or “Platform”: the PorticoXR Platform described at www.porticoxr.com…

Intellectual Property Rights: all copyrights, database rights, rights in inventions…

Law: any applicable laws, regulations, regulatory constraints, obligations…

Licensing Purpose: using the PorticoXR Platform only to demonstrate its functionality…

Third Party: any individual, organisation, company, or entity not party to these Terms…

Third Party Content: a software application developed and owned by a Third Party.

User Data: any information, materials, or data uploaded, stored or created in the PorticoXR Platform…

VR Library: a sub section of the PorticoXR Platform used solely for promotion and hosting of content.

4. Platform and VR Library Licence

PorticoXR grants you a limited, non-exclusive, non-transferable licence…

5. Use of Hosted Services

PorticoXR will provide the Hosted Services with reasonable care and in accordance with industry standards…

6. Your Responsibilities

Allow us to showcase and promote your content to Third Parties;

To not distribute any Third Party Content to another Third Party;

Restrict user access only to You and/or an Affiliate of You;

Comply with all applicable laws…

You are solely responsible for your Content… You represent and warrant that:

(a) you will use the Platform as intended…

(b) no Content will contain prohibited material…

7. Intellectual Property

You retain all intellectual property rights to your Content… PorticoXR exclusively owns all rights to the Platform and its derivatives…

9. Term and Termination

These Terms are effective until terminated. Upon termination:

Licences end immediately;

Each party must return or delete confidential materials;

Your Content will be deleted from the Platform;

We will assist with data migration if legally required.

10. Confidentiality

Each party agrees to treat non-public information as confidential, with exceptions…

11. Data Protection

You retain full responsibility for User Data. PorticoXR will act as a Data Processor and follow appropriate measures…

12. Limited Warranty

Each party warrants authority and IP ownership. PorticoXR disclaims all other warranties…

13. Liability

13.1 Neither party excludes liability for death or fraud… 13.2 Subject to clause 13.1, no party is liable for indirect loss… 13.3 Aggregate liability limited to £5,000 or the fees paid… 13.4 You indemnify PorticoXR against IP and contract breaches.

14. Assignment and Subcontracting

You may not transfer this agreement without written consent. PorticoXR may subcontract services.

15. Force Majeure

Neither party is liable for failures caused by events beyond reasonable control…
